EVALIDATE LLC WEB-APPLICATION TERMS OF USE AND LEGAL RESTRICTIONS.

ATTENTION: PLEASE READ THESE TERMS CAREFULLY BEFORE USING THIS

WEB-APPLICATION. USING THIS WEB-APPLICATION INDICATES THAT YOU

ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT THESE TERMS ("TERMS"), DO

1. Use of WEB-APPLICATION

EValidate LLC authorizes users to work, view information through its WEB-

APPLICATION relating to all work developed in connection with ePPAP Supplier Portal

for supplier and quality management, provided that user respect all copyright and other

proprietary notices contained within the web-application. User may not attempt to modify

the web-application content in any way or reproduce or publicly display, perform, or

distribute or otherwise use them for any other purpose than those authorized within this

agreement. Any use of these materials on any other website or networked computer

environment for any purpose is prohibited. The materials at this web-application are

copyrighted and any unauthorized use of any materials at this Web-application may

violate copyright, trademark, and other laws. If you breach any of these Terms, your

authorization to use this web-application automatically terminates and you must

immediately destroy any downloaded or printed materials.

2. Disclaimers

THE MATERIALS (INCLUDING ALL SOFTWARE) AND SERVICES AT THIS WEB-

APPLICATION ARE PROVIDED FOR SERVICE OF AUTHORIZED LICENSED USERS.

EValidate LLC's obligations with respect to its products and services are governed solely

by this agreement and the duly agreed upon software licenses. EValidate LLC further

does not warrant and is not responsible for information uploaded into user accounts within

the web-application. EValidate LLC may make changes to the materials and services at

this Web-application, or to the products available for User service, at any time without

notice.

3. Limitation of Liability

IN NO EVENT WILL EVALIDATE LLC, ITS SUPPLIERS, OR OTHER THIRD PARTIES

MENTIONED AT THIS WEB-APPLICATION BE LIABLE FOR ANY DAMAGES

WHATSOEVER (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM

LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION) ARISING OUT OF THE

USE, INABILITY TO USE, OR THE RESULTS OF USE OF THIS WEB-APPLICATION,

ANY WEBSITES LINKED TO THIS WEB-APPLICATION, OR THE MATERIALS OR

INFORMATION OR SERVICES CONTAINED AT ANY OR ALL SUCH SITES,

WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL

THEORY AND WHETHER OR NOT EVALIDATE LLC HAS BEEN ADVISED OF THE

POSSIBILITY OF SUCH DAMAGES. IF YOUR USE OF THE MATERIALS,

INFORMATION OR SERVICES FROM THIS WEB-APPLICATION RESULTS IN THE

NEED FOR SERVICING, REPAIR OR CORRECTION OF EQUIPMENT OR DATA, YOU

ASSUME ALL COSTS THEREOF.

4. User Submissions

EValidate LLC’s Web-application is setup to service users by receiving information

through authorized User inputs through all software available for work within the Web-

application. All information User transmits or posts on the Web-application will be

considered confidential and proprietary. EValidate LLC will have the obligation to

maintain the integrity of all information entered by User and to keep it readily available for

user queries, as long as all compensations are paid up on time by User. EValidate LLC

and its designees are not allowed to copy, disclose, distribute, incorporate and otherwise

use the information entered by User and all data and other things embodied therein for

any and all commercial or non-commercial purposes, unless duly authorized by User.

Users are prohibited from posting or transmitting to or from this Web-application any

unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material that

would violate any law.

5. Web-application Use

Any used of this Web-application is the copyrighted work of EValidate LLC. Use of the

web-application is governed by the terms of the end user license agreement, which must

be agreed upon by user and compensation paid for its use ("License Agreement").

EValidate LLC may monitor or review any areas on the Web-application where users

transmit or post information to assure correct web-application use. EValidate LLC,

however, will have no liability and will not be responsible for incorrect use of the Web-

application, and may deny access to any User who fails to respect web-application terms,

conditions and licenses. All Users must be qualified and duly trained on the use of the

Web-application. Failure by User to respect Web-application may make User liable and

damages may be accrued. EValidate LLC may also cancel service if User fails to respect

laws of copyright, libel, privacy, obscenity, or otherwise. EValidate LLC retains the right

to remove information that includes any material EValidate LLC deems abusive,

defamatory, obscene or otherwise unacceptable.

6. Links to Third-Party Websites

In case any links are incorporated into this Web-application to third-party websites, it

would be done solely as a convenience to User. If these links are used, User will leave

this Site. EValidate LLC has not reviewed all of these third-party sites and does not control

and is not responsible for any of these sites or their content. Thus, EValidate LLC does

not endorse or make any representations about them, or any information, software or

other products or materials found there, or any results that may be obtained from using

them. If User decides to access any of the third-party websites linked to this Web-

application, it would be done entirely at User’s own risk.

7. Linking to this Web-application

You may create links to this Web-application from other sites, but only if a written

authorization has been obtained from EValidate LLC and in compliance with all applicable

laws.

EValidate LLC web-application referenced herein are either trademarks, copyrighted

and/or service marks or registered trademarks and/or service marks of EValidate LLC

and/or its subsidiaries.

Other product and company names mentioned herein may be trademarks and/or service

marks of their respective owners.

9. Links

Anyone authorized in writing to create a link to EValidate LLC Web-application must

comply with the following Guidelines:

 Links may not replicate EValidate LLC content.

 Links may not create a browser or border environment around EValidate LLC

content.

 Links may not imply that EValidate LLC is endorsing it or its products.
